01 · THE BUSINESS MODEL

A physical commodity platform, built for disciplined scale.

Iustus Mercatura operates a dual-engine physical sugar trading, toll refining, and distribution platform. We link Brazilian primary mill origin sourcing with contracted U.S. Gulf Coast refining capacity to supply both the U.S. commercial market and 14 global export corridors.

The architecture is strictly asset-light: operational flexibility is maximized and capital expenditure eliminated by securing tolling quotas and vessel space under long-term partner contracts.

STAGE 01

Procure

Direct Brazilian VHP raw cane sugar sourcing across established mill networks with pre-shipment polarization testing.

02 · PHYSICAL SUGAR & DISCIPLINE

Physical commodity precision.
Institutional stop-loss control.

From Very High Polarization (VHP) raw cane sourcing in Santos/Paranaguá to toll refining under USDA re-export provisions, our platform enforces strict route margin floors.

77,000 MT Monthly Export Full-Run Scale
14 Routes Active Global Export Corridors
34.3 Days Average Capital Turnover Cycle
12% / 10% Non-Negotiable Margin Floors

Commercial Stop-Loss Rule

Every transaction must clear hard route-level margin thresholds: 12% minimum for retail packages (1kg to 25kg) and 10% minimum for bulk (50kg to 1000kg Big Bags). If market dislocation causes any trade route to breach these parameters, group allocations are immediately halted, repriced, or re-routed.

MASKING DIRECTIVE

In accordance with institutional privacy standards, internal private line-item P&L statements and EBITDA figures are masked. Metrics reflect currently planned and logsitically possible operational throughput and borrowing base collateral.

03 · GLOBAL DESTINATIONS

One physical platform.
Multiple destination markets.

Iustus Mercatura supplies deficit consumer and industrial channels across 5 macro-regions. Trade corridors are activated based on documentary compliance, confirmed letter of credit issuance, and margin sustainability.

05 · INSTITUTIONAL FRAMEWORK

Physical commerce is the engine.
Institutional control is the system.

The platform integrates self-liquidating trade finance, strict risk underwriting, non-overridable compliance monitoring, and a dual-pool collateral architecture.

01

Combined Security Pool

$180.5M active trade security structure comprising Letters of Credit (LCs), Standby LCs (SBLCs), insured cargo in transit, and corporate receivables.

02

Formal Borrowing Base

$93.2M conservative borrowing base facility discounted against physical inventory, Tier-1 confirmed credits, and prime short-term receivables.

03

Self-Liquidating Cycle

Short 34.3-day capital velocity ensures trade facilities automatically extinguish within 11 months from operational cash recoveries.

04

Risk Management

Real-time underwriting of maritime transit, currency hedging, counterparty credit ratings, and route execution feasibility.

05

Compliance & Sanctions

Automated counterparty screening against OFAC, EU, and UN watchlists, mandatory UBO verification, and documentary credit validation.

06

Documentation & Audit

Comprehensive pre-shipment SGS/Cotecna certificates of origin, bills of lading, and tamper-proof trade instrument verification.

06 · GOVERNANCE & COMPLIANCE

Non-Overridable Veto.
"No Security. No Deal."

Our governance separates holding-level strategic allocation from regional OpCo execution. If Group Compliance rejects a counterparty or trade structure due to AML, sanctions, or credit insufficiency, no executive officer (including the CEO or Chairman) has the legal authority to override the decision.

CORPORATE TRANSITION

Swiss Redomiciliation

The group's corporate holding governance sequence transitions TopCo jurisdiction from Road Town, British Virgin Islands (Iustus Mercatura Holding Inc.) to Zug, Switzerland (Iustus Mercatura Holding AG).
